1. Ratings Basis

The McGraw-Hill Companies, Limited trading as Standard & Poor's ("S&P") bases its fund management ratings on current information furnished to S&P by the fund or obtained from sources which S&P considers reliable. S&P does not perform an audit in connection with any rating and may rely on unaudited information. Because of the possibility of human or mechanical error by our sources, S&P or others, S&P does not guarantee the accuracy, adequacy, or completeness of any information and is not responsible for any errors or omissions or for the results obtained from the use of such information. No offer, solicitation or advice to buy or sell any of the securities referred to herein is being given by either S&P any person connected with it.

S&P is paid for rating funds. S&P bases the compensation on the time and effort to determine the rating and is normally paid by the sponsor of the fund.

2. Publication Basis

While S&P reserves the right to disseminate the fund management rating, it receives no payment for doing so, except for payment for subscriptions or for access to its publications.
